When acting for an acquiror, we expect to provide strategic advice, negotiate on our client’s behalf, advise on the application of the Takeover Code or applicable regulation and coordinate the preparation and release of announcements and documentation.
Additionally, through our relationships with institutional shareholders we are able to understand the stock market dynamics and manage share purchases in support of an offer where appropriate in the UK.
For a target company, Altium will advise the Board on the merits of a proposed offer considering such factors as the price and terms offered, the fit with the acquirer and the availability of alternative strategic options.
We also advise on how to handle both hostile and friendly approaches, negotiations, due diligence requests, the demands of competing offers and all the many other issues that need to be managed with skill and confidence.
Where management are involved in the proposed takeover of the company they work for, we have considerable experience of advising on all aspects of the ‘public to private’ process, which often includes special considerations that are not relevant to normal takeovers.
